This document is a working draft prepared by the platform team. Amounts, percentages and durations marked as placeholders must be confirmed by legal counsel before publication (German AGB law, §§ 305 ff. BGB, competition law).

1. Scope

These Wholesaler Terms govern the use of the Taper Tech platform (the “Platform”) by companies that buy barbershop supplies from manufacturers and resell them to distributors and suppliers on the Platform (“Wholesalers”). By creating a wholesaler account or accepting these terms in the wholesaler area you agree to be bound by them. The Platform operator (“Operator”) acts as an intermediary; supply contracts are concluded directly between the trading partners.

2. Platform services

  • Wholesaler profile with the brands you carry, logo and description, visible to approved suppliers and manufacturers.
  • Price list for suppliers: purchase prices per pack, quantity breaks, minimum order quantities, case sizes, lead times and optional stock.
  • Access management: suppliers request access; Wholesalers approve, decline or block and may set customer-specific discounts.
  • Incoming orders from suppliers with your own order numbering, confirmation, shipment and tracking.
  • Purchasing: access to manufacturer price lists and purchase orders to manufacturers placed through the Platform.

3. Platform-only distribution and non-circumvention

3.1 Platform partners. Any supplier that requested access to the Wholesaler’s price list via the Platform, and any manufacturer whose price list the Wholesaler accessed via the Platform, is a “Platform Partner”. The Operator introduced these partners to the Wholesaler.

3.2 Conditions stay on the Platform. For a period of 24 months after the last Platform contact with a Platform Partner, the Wholesaler shall handle purchase conditions and orders with that partner through the Platform and shall not use the contact to move the business off the Platform.

3.3 No direct sales to shops. The Platform connects Wholesalers with suppliers and manufacturers only. Wholesalers shall not use Platform data to contact or sell directly to barbershops that are customers of Platform suppliers.

3.4 No contact details in the chat. The Wholesaler shall not share or request telephone numbers, e-mail addresses, websites, messenger handles or bank details via the Platform messaging channel. The Platform automatically removes such details, stores the original for review by the Operator and flags the message.

3.5 Contractual penalty. For each culpable breach of clauses 3.2 to 3.4 the Wholesaler shall pay a contractual penalty of EUR 2,500 or, if higher, 20 % of the circumvented net revenue (placeholders). Further damages remain unaffected.

3.6 Consequences. The Operator may (a) issue a warning, (b) temporarily suspend the wholesaler account and hide the price list, and (c) terminate the account for repeated or serious breaches.

4. Price list, orders and data

  • Prices are net purchase prices per pack in EUR; VAT is shown separately. The price list must be kept up to date.
  • Entries marked as draft are not visible to suppliers. Active entries are visible to approved suppliers only.
  • The Wholesaler confirms it is entitled to distribute the listed brands and that product data is accurate.
  • Purchase orders placed with manufacturers through the Platform are binding once confirmed by the manufacturer; invoicing and payment run between the parties.

5. Communication and monitoring

Messages are stored for 36 months (placeholder) for evidence purposes and may be reviewed by the Operator when flagged automatically or reported by a user.

6. Fees

During the pilot the Platform is free of charge for Wholesalers. Any future fee will be announced at least 30 days in advance and requires a new terms version, which Wholesalers accept in the wholesaler area.

7. Term and termination

Either party may terminate the wholesaler account with 30 days’ notice. Clause 3 survives termination for the non-circumvention period.

8. Liability, data protection, governing law

The Operator is liable only for intent and gross negligence, except for injury to life, body or health. Personal data is processed according to the privacy notice. German law applies; place of jurisdiction is the Operator’s registered seat, provided the Wholesaler is a merchant.

9. Changes

The Operator may update these terms. Wholesalers are asked to accept the new version in the wholesaler area; until accepted, the wholesaler area is restricted. The current version is 2026-09.
